Biography
Rogelio has been offering strategic counsel and guidance to clients in a range of intricate and sophisticated legal dealings for more than two decades. He provides advice to both domestic and international companies, large corporations, and entrepreneurs regarding their business operations and investment considerations in the United States as well as across Latin America, Asia, and Europe, encompassing cross-border transactions. Rogelio aids clients in equity and debt offerings that are registered under U.S. securities laws, as well as in the issuance of equity and debt in global transactions that do not fall under the registration requirements of U.S. securities laws. Additionally, he assists with corporate governance and securities regulation matters. He also provides guidance on M&A transactions, joint ventures, corporate finance, real estate transactions, and infrastructure development, with a focus on Puerto Rico and the Latin American region. Rogelio regularly advises U.S. and international clients, as well as high net worth individuals looking to relocate to Puerto Rico, on optimizing available opportunities under the Puerto Rico economic tax incentives provided by Acts 20 and 22, along with other incentives outlined in Act 60, the new Puerto Rico Code of Incentives. He represents both public and private clients utilizing EB-5 as a capital source, including filing for an EB-5 Regional Center designation from USCIS, and working with developers seeking to raise capital through the EB-5 program. He has expertise in public-private partnership projects utilizing opportunity zones funding, EB-5 funds, and other economic and tax incentives, in conjunction with tax credits and other inducements. Prior to establishing CLG, Rogelio gained experience with various U.S. and international law firms in New York, Puerto Rico, and Shanghai, China. He commenced his career as an associate at the New York office of Fried Frank, where he assisted foreign and domestic issuers with their capital markets, securities, and corporate requirements. Rogelio has also held partner positions at Akerman LLP, Fox Rothschild, and Cozen O’Connor.
